Terms of Service

1. Acceptance of Terms

By accessing or using the Asan CRM platform ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, and the terms "you" and "your" shall refer to such entity.

You must be at least eighteen (18) years of age to use this Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you do not agree to these Terms, you must immediately discontinue use of the Service.

2. Service Description

Asan CRM is a cloud-based customer relationship management platform designed for sales teams and businesses. The Service provides an integrated suite of tools including but not limited to: a browser-based voice dialer, SMS messaging, email marketing, AI-powered call coaching and transcription, lead management and pipeline tracking, automated workflows, team collaboration features, and reporting analytics. The specific features available to you may vary depending on your subscription plan and any applicable feature flags or usage limits associated with your account.

3. Account Responsibilities

When you create an account with Asan CRM, you agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate and complete. You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account.

You agree not to share your login credentials with any third party. If you become aware of any unauthorized use of your account or any other breach of security, you must notify Asan CRM immediately at hello@asancrm.com. Asan CRM shall not be liable for any loss or damage arising from your failure to comply with these security obligations.

4. Acceptable Use Policy

You agree to use the Service in compliance with all applicable federal, state, provincial, and local laws and regulations, including but not limited to the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act of 2003, the Canadian Anti-Spam Legislation (CASL), and the Cellular Telecommunications Industry Association (CTIA) guidelines and best practices for messaging.

You shall not use the Service to: (a) send unsolicited commercial communications (spam) to individuals who have not provided prior express consent; (b) engage in caller ID spoofing or misrepresent your identity; (c) harass, threaten, or intimidate any person; (d) transmit any material that is unlawful, harmful, defamatory, obscene, or otherwise objectionable; or (e) interfere with or disrupt the integrity or performance of the Service.

You are solely responsible for obtaining and maintaining all necessary consents, permissions, and opt-ins required by applicable law before contacting any individual through the Service, whether by phone call, SMS, or email. Asan CRM is not responsible for your compliance with telecommunications and marketing regulations.

5. Telephone & SMS Terms

The voice and SMS capabilities of the Service are powered by Twilio's telecommunications infrastructure. Your use of these features is subject to Twilio's Acceptable Use Policy in addition to these Terms. Phone numbers provisioned through the Service are leased, not owned, and remain the property of the underlying carrier.

You acknowledge and agree that: (a) call recording is subject to federal, state, and provincial consent laws, and it is your sole responsibility to comply with all applicable one-party or two-party consent requirements in the jurisdictions where your calls originate and terminate; (b) certain phone numbers may be restricted to domestic calling and messaging only, depending on the country of origin; (c) phone number porting (transferring an existing number to or from the Service) is not supported; and (d) if you require a phone number change after initial provisioning, a service fee of $20.00 USD will apply.

6. Email Marketing Terms

When using the email features of the Service, you agree to maintain clean and accurate mailing lists, send only to recipients who have provided valid opt-in consent, and honor all unsubscribe requests within ten (10) business days of receipt. You shall not use purchased, rented, or third-party mailing lists with the Service.

Asan CRM reserves the right to monitor email sending activity and to suspend or terminate your email privileges if your account generates excessive bounce rates, spam complaints, or is otherwise found to be in violation of email best practices or applicable anti-spam laws. You acknowledge that maintaining a healthy sender reputation is a shared responsibility and that abuse by one user can impact all users of the platform.

7. AI Features Disclaimer

The Service includes artificial intelligence features such as AI-generated email and SMS drafts, call transcription, call scoring, lead classification, and coaching recommendations (collectively, "AI Features"). These AI Features are provided as assistive tools intended to support your workflow and are not guarantees of accuracy, completeness, or suitability for any particular purpose.

You are solely responsible for reviewing, editing, and approving all AI-generated content before sending or acting upon it. Asan CRM makes no representations or warranties regarding the accuracy of AI-generated transcriptions, summaries, scores, or recommendations, and shall not be liable for any decisions, communications, or actions taken based on AI-generated outputs.

8. Call Recording & Transcription

Calls made through the Service may be recorded and transcribed for quality assurance, training, and AI analysis purposes. You are solely responsible for disclosing to all parties on a call that the call may be recorded and for obtaining any required consent in accordance with applicable federal, state, and provincial laws governing call recording.

Recorded calls and transcriptions are stored securely on encrypted servers and are accessible only to authorized users within your account. Asan CRM retains call recordings in accordance with the data retention policies described in Section 13 of these Terms.

9. Billing & Payments

Subscription fees are billed on a monthly recurring basis and will automatically renew at the end of each billing cycle unless cancelled prior to renewal. All fees are quoted and charged in United States Dollars (USD). Payment is processed through Stripe, and you agree to Stripe's terms of service as applicable to your payment transactions.

Each subscription plan includes a specified allocation of voice minutes, SMS messages, and emails. Usage exceeding your plan's allocation will be charged as overages and deducted from your account wallet balance. Your first US or Canadian phone number is included at no additional monthly cost; subsequent numbers are billed at the applicable monthly rate. Wallet credits that have been used or applied to overages are non-refundable. Asan CRM will provide at least thirty (30) days' written notice before implementing any changes to subscription pricing.

10. Refund Policy

Subscription fees are non-refundable. If you cancel your subscription, you will retain access to your current plan's features until the end of your current billing cycle, but no prorated refund will be issued for the unused portion of that cycle. Wallet credits that have been purchased are non-refundable and non-transferable. In the event of account cancellation or termination, any remaining unused wallet balance will be forfeited after the thirty (30) day data retention grace period described in these Terms. Asan CRM reserves the right to issue refunds or credits at its sole discretion on a case-by-case basis.

11. Lifetime Deal & Promotional Terms

From time to time, Asan CRM may offer promotional pricing, lifetime deals, or special offers through third-party platforms such as AppSumo. Such offers are subject to the specific terms and conditions communicated at the time of purchase, which shall supplement these Terms. Lifetime deal access is granted to the individual or entity that purchased the deal and is non-transferable. Asan CRM reserves the right to define and modify the specific features, usage limits, and support levels included in any promotional offer, provided that the core functionality promised at the time of purchase is maintained.

12. Data Privacy & Security

Your data is stored on servers located in the United States and is protected using industry-standard encryption protocols, including TLS for data in transit and AES-256 for data at rest. Asan CRM implements strict access controls and employs multi-tenant isolation to ensure that your data is logically separated from other customers' data at all times.

Asan CRM does not sell, rent, or trade your personal information or your lead data to any third party. You retain full ownership of all data you input into the Service, including lead records, communications, recordings, and any other content. For Canadian users, Asan CRM complies with the Personal Information Protection and Electronic Documents Act (PIPEDA) with respect to the collection, use, and disclosure of personal information. 13. Data Retention & Deletion

Upon cancellation of your subscription, Asan CRM will retain your account data for a grace period of thirty (30) days, during which you may reactivate your account or request a data export. After this thirty-day grace period, all account data — including lead records, communications, and associated metadata — will be permanently deleted from our systems and cannot be recovered.

Call recordings are retained for a maximum period of ninety (90) days from the date of the call. After this retention period, recordings are automatically and permanently deleted. You may request earlier deletion of specific recordings by contacting our support team.

14. Intellectual Property

All intellectual property rights in and to the Service, including but not limited to the software, design, logos, trademarks, documentation, and all proprietary technology, are and shall remain the exclusive property of Asan Real Estate Inc. and its licensors. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use the Service in accordance with these Terms.

You retain all ownership rights in the data and content you submit to or create through the Service. By using the Service, you grant Asan CRM a limited, non-exclusive, non-transferable license to process, store, and display your data solely for the purpose of providing the Service to you.

15. Service Availability

Asan CRM will use commercially reasonable efforts to maintain the availability and performance of the Service. However, we do not guarantee uninterrupted or error-free operation of the Service at all times. The Service may be temporarily unavailable due to scheduled maintenance, system upgrades, or circumstances beyond our reasonable control, including but not limited to internet service disruptions, third-party service outages, or force majeure events.

We will make reasonable efforts to communicate planned maintenance windows in advance through email notification or in-app announcements. Asan CRM shall not be liable for any loss or damage resulting from Service downtime or interruptions.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF ASAN REAL ESTATE INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO ASAN CRM DURING THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL ASAN REAL ESTATE INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITIES, OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ASAN CRM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

17. Indemnification

You agree to indemnify, defend, and hold harmless Asan Real Estate Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, CASL, or any other applicable telecommunications or marketing law; (b) spam complaints or regulatory actions resulting from your use of the Service; (c) unauthorized recording of telephone calls or failure to obtain required consent; (d) misuse of AI-generated content or features; or (e) your breach of any provision of these Terms.

18. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings or by contacting our support team at hello@asancrm.com. Asan CRM reserves the right to suspend or terminate your account immediately, without prior notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent or abusive activity, or if your use of the Service poses a risk to other users or to the integrity of the platform.

Upon termination, the data retention policies described in Section 13 shall apply. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 16 (Limitation of Liability), 17 (Indemnification), 19 (Governing Law), and 22 (Disclaimers).

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, United States of America, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in Hennepin County, Minnesota, and you hereby consent to the personal jurisdiction and venue of such courts.

20. Changes to Terms

Asan CRM reserves the right to modify these Terms at any time. We will provide at least thirty (30) days' prior notice of any material changes by sending an email to the address associated with your account or by posting a prominent notice within the Service. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree with the revised Terms, you must discontinue your use of the Service before the changes take effect.

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ASAN REAL ESTATE INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

ASAN CRM MAKES NO WARRANTY OR REPRESENTATION REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY AI-GENERATED CONTENT, INCLUDING BUT NOT LIMITED TO CALL TRANSCRIPTIONS, LEAD SCORES, COACHING RECOMMENDATIONS, AND AI-DRAFTED COMMUNICATIONS. ALL AI FEATURES ARE PROVIDED FOR INFORMATIONAL AND ASSISTIVE PURPOSES ONLY.

YOUR USE OF TELECOMMUNICATIONS FEATURES, INCLUDING VOICE CALLING, SMS MESSAGING, AND CALL RECORDING, IS AT YOUR OWN RISK. ASAN CRM IS NOT A TELECOMMUNICATIONS CARRIER AND DOES NOT GUARANTEE THE AVAILABILITY, QUALITY, OR RELIABILITY OF VOICE OR MESSAGING SERVICES. YOU ASSUME ALL RISK AND LIABILITY ASSOCIATED WITH YOUR USE OF THESE FEATURES AND YOUR COMPLIANCE WITH APPLICABLE TELECOMMUNICATIONS LAWS AND REGULATIONS.
